Part A – General (consumers and business customers)
1. Definitions and applicability
- Cartronix: Cartronix Group B.V., Chamber of Commerce (KvK) 75646064, established in Capelle aan den IJssel, the Netherlands.
- Consumer: a natural person who is not acting in the course of a profession or business.
- Business customer: any natural or legal person acting in the course of a profession or business, including dealers, installers, garages, resellers, (online) retailers and leasing companies.
- Customer: a consumer or a business customer.
- Dealer: a business customer with a dealer or business account approved by Cartronix, or with whom a separate dealer or cooperation agreement has been concluded.
- These terms apply to every offer, quotation and agreement of Cartronix, whether via cartronix.eu, by email, telephone, quotation or in any other way. For purchases via a marketplace, the terms of that platform may also apply.
- Purchasing or other terms of the customer do not apply unless Cartronix has accepted them in writing in advance.
- If a provision is void or voidable, the other provisions remain in force. The invalid provision will be replaced by a valid provision that comes as close as possible to its intent.
- Cartronix may amend these terms. An agreement is governed by the terms in force at the time of ordering.
2. Offer, information and formation of the agreement
- Cartronix describes products, prices, specifications, compatibility and availability as carefully as possible. Images are illustrations and may differ in non-essential respects.
- Obvious mistakes and evident pricing errors do not bind Cartronix if the customer should reasonably have understood that there was an error.
- The agreement is concluded once the order has been placed and accepted by Cartronix. The automatic order confirmation is an acknowledgement of receipt.
- Quotations are valid for 14 days, unless stated otherwise, and are not binding.
- If there is a reasonable suspicion of fraud, abuse or unauthorised use of a payment method, Cartronix may request additional verification, temporarily suspend processing or cancel the order.
- Cartronix may refuse an order or set maximum quantities per customer, among other things to prevent resale outside the dealer network.
- Minors can only enter into an agreement with the consent of their legal representative, insofar as such consent is required by law.
3. Prices and payment
- Prices for consumers are in euros and include VAT. Additional costs are shown before the order is completed.
- The price shown when ordering applies to the order, barring an obvious error.
- Cartronix may offer payment in advance, payment afterwards and payment in instalments. External payment methods are subject to the terms and acceptance criteria of the payment provider.
- If an amount due from a consumer remains unpaid, the consumer will first receive a free payment reminder with a period of at least 14 days. After that, extrajudicial collection costs may be charged in accordance with the statutory rules.
- In the event of an unjustified chargeback or payment dispute, Cartronix may provide the necessary order, payment, delivery and communication data to the payment provider, in accordance with privacy legislation and the Cartronix privacy policy.
4. Delivery and shipping
- Shipping costs according to the current website: the Netherlands and Belgium free; other EU countries €12.95 per order; outside the EU €19.95 per order. The rate shown at checkout prevails.
- In the Netherlands and Belgium, Cartronix aims to deliver items in stock within 1–2 working days. Stated delivery times are target times, unless a binding delivery date has been expressly agreed. Consumers may cancel free of charge if delivery is more than 30 days late.
- Cartronix may ship in partial deliveries at no extra shipping cost.
- For deliveries outside the EU, import duties, local taxes and customs clearance costs are borne by the customer, unless stated otherwise.
- The customer is responsible for correct and complete delivery details. Additional costs caused by an incorrect address or a shipment not being collected may be passed on, insofar as permitted by law.
- For consumers, the risk of loss or damage passes upon actual receipt by the consumer or a third party designated by them. For business customers, see article 19.
5. Pre-orders, modified versions and unavailability
- Pre-orders are paid in advance. A stated delivery date is an expected date. In the event of significant delay, the customer may choose between waiting or cancelling free of charge with a full refund.
- If an item is permanently unavailable, the amount paid will be refunded, or an alternative will be delivered only with the customer's consent.
- A newer or modified product version may be delivered if it is at least functionally equivalent. In the event of relevant differences in specifications, appearance, functionality, connection or compatibility, Cartronix will ask for consent first.
6. Right of withdrawal (consumers only)
- A consumer has a 14-day cooling-off period from the day after receiving the product. After notifying withdrawal, the consumer has a further 14 days to return the product to the address that Cartronix provides in the return confirmation.
- You can withdraw using the 'Withdraw from purchase' button at cartronix.eu/en/pages/herroepen (also at the bottom of every page), by email to info@cartronix.eu or in any other unambiguous way, for example using the model withdrawal form. The consumer will receive a confirmation.
- The direct costs of returning the product are borne by the consumer.
- Cartronix will refund within 14 days of the notification, including the standard shipping costs, using the same payment method. Cartronix may withhold the refund until the product has been received or the consumer has shown that it has been sent back.
- The consumer may handle and inspect the product as they would in a shop. Use or installation beyond that (such as full installation in the car, cutting cables, changing connectors, gluing or installation scratches) may lead to a deduction for diminished value. Merely opening the packaging is not a reason to refuse a return.
- The right of withdrawal does not apply to products made to the customer's specifications or clearly personalised, nor to digital content, licences or activation codes once the statutory conditions for this have been met.
- Bundles are in principle returned as a complete bundle. A free promotional product must be returned along with a full withdrawal of the main purchase. If a discount code was used, the amount actually paid is refunded.
7. Compatibility and vehicle data
- The suitability of car radios, CarPlay/Android Auto systems, cameras, interfaces, CANBUS decoders, cable sets and other vehicle-specific electronics depends on make, model, year, version, factory options and existing connections.
- The customer provides requested vehicle data, photos and checks correctly and completely. A vehicle filter or compatibility list on the website is not individual advice where additional data is required.
- If Cartronix demonstrably recommends the wrong product based on correct and complete information, Cartronix will provide a suitable solution free of charge. If the customer chooses otherwise than advised, or their information is incorrect, the responsibility for that choice lies with the customer.
8. Warranty and conformity
- Products have the properties that the customer may expect under the agreement. Consumers are always entitled to the statutory warranty; its duration depends on the nature and price of the product and the circumstances.
- An additional (commercial) warranty from Cartronix applies only if it has been expressly offered with the product or the purchase, and never limits the consumer's statutory rights.
- In a valid case of non-conformity, Cartronix will provide free repair or replacement within a reasonable time. Necessary repair, replacement and shipping costs are then not charged to the consumer.
- There is no warranty claim for defects demonstrably caused by incorrect or improper installation, incorrect voltage, short circuit, moisture, fire, drop or impact damage, normal wear and tear, external influences or unauthorised physical modification or software/firmware changes.
9. Diagnosis, investigation and data
- In the event of technical problems, Cartronix may first ask for reasonable remote diagnosis, such as following the manual, carrying out checks and supplying photos or videos. This does not limit the statutory rules of evidence for consumers.
- If investigation shows that there is no defect or that the cause falls under an exclusion in article 8.4, reasonable investigation, service and shipping costs may be charged, provided the customer was informed of this in advance.
- The customer is responsible for backing up their own data and settings. Data may be lost during a reset, update, repair or replacement.
10. Software, firmware, apps and third-party services
- Products may contain software or firmware. The customer receives a non-exclusive right to use it with the product concerned. It is not permitted to copy, decrypt or modify the software, except insofar as mandatory law allows.
- Cartronix may make updates available. Consumers receive the updates that are legally required to keep the product in conformity. Installing software or firmware not supplied by Cartronix is at the customer's own risk.
- Functions that depend on third-party services, such as Apple CarPlay, Android Auto, apps, maps, streaming or DAB+ reception, may be changed or restricted by those third parties. Cartronix does not guarantee the availability and operation of third-party services, subject to mandatory law.
11. Use and road safety
- The customer uses products in accordance with the manual and the applicable traffic and vehicle rules. Operation while driving is at the customer's own responsibility.
- Cameras and dashcams must be used in compliance with privacy legislation. The customer is responsible for lawfully recording, storing and sharing footage.
- Installation affects the vehicle's electrical system. Cartronix recommends installation by a qualified installer. Any consequences for the vehicle's factory warranty, insurance or inspections are borne by the customer, without prejudice to Cartronix's liability under the law.
12. Incorrect delivery, transport damage and missing parts
- An incorrectly delivered product will be corrected free of charge. The customer then pays no return costs.
- Consumers report visible transport damage, incorrect delivery or missing parts as soon as possible, preferably within 14 days and with photos. This does not limit the statutory rights of consumers. For business customers, article 20 applies.
13. Liability (consumers)
- Cartronix is not liable for damage, unless and insofar as mandatory law provides otherwise.
- In any event, Cartronix is not liable for indirect or consequential damage, for damage caused by incorrect assembly or installation, or for damage caused by improper use or failure to follow instructions.
- These limitations do not apply in the event of intent or deliberate recklessness on the part of Cartronix. They do not affect the consumer's statutory rights in the case of a non-conforming product (repair, replacement or refund) or product liability.
14. Force majeure
- Cartronix is not liable for a failure resulting from circumstances beyond its reasonable control, such as disruptions or shortages at suppliers and carriers, supply delays, epidemics, war, sanctions, natural disasters, cyberattacks or government measures, within the limits of mandatory consumer law.
- If force majeure lasts longer than 60 days, either party may terminate the agreement for the part not yet performed. Amounts already paid for products not delivered will be refunded.
15. Complaints and disputes
- Complaints can be submitted via info@cartronix.eu or +31 85 773 16 79. Cartronix will respond substantively within 14 days or indicate within that period when the customer can expect a substantive answer.
- If the parties cannot resolve the matter together, a consumer may submit the dispute to the competent court or to a dispute resolution body to which Cartronix may be affiliated, as stated on the website.
16. Intellectual property
- All rights to the Cartronix brand name, logos, product names, images, manuals, texts and software belong to Cartronix or its licensors.
- It is not permitted to use, copy or publish these without prior written consent, except insofar as article 25 allows dealers to do so.
17. Personal data
Cartronix processes personal data in accordance with applicable privacy legislation and the privacy policy at cartronix.eu/en/policies/privacy-policy. End-customer data that a dealer provides to Cartronix (for example for drop shipments or a warranty case) is used only to carry out that order.
Part B – Additional terms for business customers (B2B)
Part B applies in addition to part A for every business customer. In the event of conflict, part B prevails. A separate written dealer or cooperation agreement in turn prevails over these terms.
18. Business account, prices and ordering
- Cartronix may grant a business or dealer account based on Chamber of Commerce and VAT details. Cartronix may refuse an application without giving reasons, and may suspend or terminate an account in the event of abuse, payment arrears or conduct contrary to these terms.
- Business prices and price lists are in euros and exclude VAT, unless stated otherwise. Cartronix may change prices in the interim. Orders placed and confirmed are subject to the prices at the time of confirmation, except in the event of a demonstrable, exceptional increase in purchase prices, exchange rates, levies or transport costs of more than 5% before delivery. The business customer may then cancel the order free of charge.
- Cartronix may apply a minimum order value, a minimum quantity per item or a shipping surcharge for small orders, as stated in the account or price list.
- Discounts, tiered prices and bonuses apply only as long as they have been agreed in writing and the business customer meets the associated conditions.
- For deliveries within the EU to a business customer with a valid VAT identification number, VAT may be reverse-charged (intra-Community supply). The business customer guarantees the accuracy of their details. If the VAT number becomes invalid or the required evidence is missing, Cartronix may still charge VAT.
- An order placed and confirmed by the business customer can only be cancelled or changed with Cartronix's written consent. Cartronix may then charge the costs already incurred and at least 15% of the order value. Specially ordered, configured or custom-made products cannot be cancelled.
19. Delivery, risk and delivery time (B2B)
- The risk of loss and damage passes to the business customer when the products are handed over to the carrier, unless another Incoterm has been agreed in writing.
- Delivery times are indicative and not strict deadlines. Exceeding them does not entitle the customer to compensation or termination, unless the delay exceeds 30 days and Cartronix fails to deliver after written notice of default with a reasonable period.
- If the business customer refuses or does not accept a delivery, Cartronix may store the products at the customer's expense and risk and charge the costs of storage and re-shipment.
- In the case of drop shipment (delivery on behalf of the dealer to its end customer), the dealer remains the seller towards its end customer and is responsible for correct address and customer details.
20. Inspection on receipt and complaint periods (B2B)
- The business customer inspects the products immediately on receipt for quantities, correct items and visible damage. Visible transport damage is noted on the consignment note or proof of delivery where possible.
- Visible defects, incorrect deliveries and missing quantities must be reported in writing with photos within 7 days of receipt. Hidden defects must be reported within 7 days of discovery or of when they could reasonably have been discovered, and no later than 12 months after delivery.
- After these periods have expired, all claims of the business customer in this respect lapse.
- A complaint does not suspend the business customer's payment obligation.
21. Returns and RMA procedure (B2B)
- Business customers have no statutory right of withdrawal. Cartronix does not grant business customers a general right of return, unless otherwise agreed in writing in advance.
- Every return shipment (including for warranty) requires an RMA number issued in advance by Cartronix. Returns without an RMA number may be refused or sent back at the business customer's expense.
- If Cartronix voluntarily accepts a commercial return, the product must be new, unused, complete and in its undamaged original packaging. Cartronix may deduct 15% handling costs and any diminished value. Return costs are borne by the business customer. Specially ordered, configured or custom-supplied products are excluded.
- For a warranty or RMA request, the business customer provides: order number or invoice number, serial number (if any), vehicle (make, model, year), a clear description of the fault, the result of the diagnosis carried out and photos or videos.
- If investigation finds no defect (no fault found) or the defect falls under an exclusion, Cartronix may charge investigation, handling and shipping costs.
22. Warranty for business customers
- Cartronix guarantees that products are free from material and manufacturing defects on delivery for 12 months after delivery to the business customer, unless a different period is stated for a product.
- In the case of a valid claim, Cartronix chooses between repair, replacement or crediting the invoice price. Cartronix has thereby fully met its obligations.
- Labour, installation and removal costs, call-out charges, replacement transport, diagnosis by third parties and other costs of the business customer or its end customer are not reimbursed, unless Cartronix has agreed to this in writing in advance.
- The exclusions of article 8.4 also apply. In addition, the warranty lapses in the case of installation not carried out in accordance with the manual or good workmanship, or if serial numbers or seals have been removed or damaged.
- If a dealer resells products to consumers, the dealer remains responsible towards its consumer for the statutory warranty. Cartronix supports the dealer in this in accordance with this article.
23. Payment, credit and security (B2B)
- Unless otherwise agreed, a business customer pays in advance. After approval, Cartronix may deliver on account with a payment term of 14 days from the invoice date.
- Cartronix may apply a credit limit, obtain credit information and require advance payment or security before (further) delivery.
- In the event of late payment, the business customer is in default without notice and owes the statutory commercial interest. All extrajudicial collection costs are for its account, with a minimum of 15% of the outstanding amount (with a minimum of €40), plus any legal costs.
- In the event of payment arrears, Cartronix may suspend all current orders, block the account and make all outstanding claims immediately due and payable.
- The business customer may not set off amounts against claims on Cartronix or suspend payment. Cartronix may set off against amounts it owes the business customer.
- In the event of bankruptcy, suspension of payments, attachment, liquidation or takeover of the business customer, Cartronix may terminate the agreement in whole or in part without being liable for damages.
24. Retention of title (B2B)
- All delivered products remain the property of Cartronix until the business customer has paid in full all claims under all agreements with Cartronix, including interest and costs (extended retention of title).
- As long as ownership has not passed, the business customer may only resell or install the products in the ordinary course of business. It may not pledge or otherwise encumber them and keeps them identifiable as the property of Cartronix.
- If the business customer fails to meet its obligations, Cartronix may repossess the products. The business customer grants Cartronix access to its business premises for this purpose. Cartronix may also exercise a right of retention over products of the business customer in its possession.
25. Dealers and resale
- A dealer acts in its own name and for its own account and is not authorised to represent or bind Cartronix.
- A dealer may only use the Cartronix brand name, logos, product photos and product texts to offer Cartronix products and in accordance with the guidelines provided by Cartronix. It does not give the impression of being an official branch or exclusive partner of Cartronix, unless agreed in writing. Use ends immediately when the cooperation ends.
- A dealer does not offer products via marketplaces, domain names or advertisements that use the Cartronix brand name in a confusing way, and does not register domain names, trademarks or accounts containing the name Cartronix.
- A dealer is free to set its own selling prices. Recommended prices from Cartronix are not binding.
- A dealer provides its customers with correct information about the products, supplies manuals and safety information and complies with applicable laws and regulations, including consumer, privacy, environmental and (packaging) waste rules.
- At Cartronix's request, the dealer follows up on safety notices, recalls or software updates and cooperates, including by providing relevant delivery data.
- A dealer does not resell products to countries or parties subject to sanctions or export restrictions.
26. Installation by business customers
- An installer, garage or dealer that installs products does so under its own responsibility and in accordance with the manual and good workmanship. It checks compatibility with the vehicle before installation.
- Cartronix is not liable for damage to vehicles, electrical systems, airbags, on-board computers, batteries or other vehicle systems resulting from installation, connection or configuration by the business customer or its employees.
- Technical support provided by Cartronix to business customers (by phone, email or remotely) is a free best-effort service and does not create liability for carrying out the installation.
27. Liability and indemnity (B2B)
- Cartronix is not liable to a business customer for any damage, direct or indirect, except in the event of intent or deliberate recklessness on the part of Cartronix's management. If liability is nevertheless established, it is limited to the invoice amount (excluding VAT) of the product concerned.
- Cartronix is never liable for indirect damage, including consequential damage, loss of profit, loss of turnover, missed savings, business interruption, damage due to delay, reputational damage, costs of replacement transport and damage suffered by third parties or end customers.
- Any claim against Cartronix lapses if it has not been submitted to Cartronix in writing within 12 months after the business customer became aware or could have become aware of the damage.
- The business customer indemnifies Cartronix against all third-party claims, including from its end customers, relating to the installation (by or on behalf of the customer), resale or use of the products, information or commitments given by the customer, or failure to comply with these terms, except in the event of intent or deliberate recklessness on the part of Cartronix.
- The limitations in this article do not apply in the event of intent or deliberate recklessness on the part of Cartronix or its managers.
28. Confidentiality
Business customers keep price lists, purchasing terms, dealer discounts, technical documentation and other confidential information of Cartronix secret and use it only for the cooperation with Cartronix.
Part C – Final provisions
29. Applicable law and competent court
- Dutch law applies to all agreements with Cartronix. The Vienna Sales Convention (CISG) is excluded.
- A consumer retains the protection of the mandatory law of their country of residence.
- Disputes with business customers are submitted exclusively to the competent court in the district of Rotterdam, insofar as permitted by law.
